1. Acceptance of Terms
These Terms govern your access to and use of the Msomi Merchant App and associated payment acceptance services. By registering as a merchant on the Msomi platform, you agree to these Terms. If you are accepting on behalf of a business, you represent that you have authority to do so.
2. Merchant Eligibility
To register as a Msomi merchant, you must:
- Operate as an approved vendor at or near a participating school.
- Be registered as a business entity or individual trader in accordance with Kenyan law.
- Pass our merchant onboarding and verification process.
- Agree to abide by the rules of the school(s) in whose programme you participate.
3. Merchant Obligations
- Accept Msomi NFC payments at your approved terminal for eligible student transactions.
- Only sell goods and services approved within the school's programme guidelines.
- Display accurate pricing at point of sale.
- Not attempt to charge amounts different from those authorised by the student or parent.
- Maintain the security of merchant terminals and report any suspected tampering immediately.
4. Settlements and Fees
Msomi will settle transaction proceeds to your registered bank or mobile-money account on the schedule set out in your merchant agreement. Msomi may deduct applicable service fees, as published in your merchant portal, from settlement amounts. Specific settlement timelines and fee structures are detailed in your individual merchant agreement.
5. Prohibited Merchant Conduct
- Selling prohibited or age-inappropriate goods to students.
- Processing fictitious or fraudulent transactions.
- Sharing terminal access credentials with unauthorized parties.
- Splitting single transactions into multiple charges to circumvent limits.
- Colluding with students or parents to circumvent school spending policies.
6. Disputes and Chargebacks
If a parent disputes a transaction, Msomi will investigate using transaction records. If a transaction is found to have been processed in error or in breach of these Terms, Msomi may reverse it and deduct the amount from your next settlement. Merchants may present evidence during the investigation period specified in the dispute notice.
7. Termination
Either party may terminate the merchant relationship with reasonable written notice. We may suspend or terminate merchant access immediately for breach of these Terms, suspected fraud, or school request. Outstanding settlements due will be paid within the standard settlement cycle following termination.
8. Governing Law
These Terms are governed by the laws of the Republic of Kenya. Disputes shall be resolved through good-faith negotiation, and if unresolved, through the competent courts of Kenya.
